Description	:	Heads of Agreement between The Media Shoppe Berhad (“TMS”) and Viewnet Computer System Sdn Bhd (“Viewnet”)
Announcement Details/Table Section : The Board of Directors wishes to announce that the Company had on 19 January 2012 entered into a Heads of Agreement with Viewnet, who is engaged in the business of trading in software, hardware, multimedia, internet and electronic commerce providers and facilitators. TMS sees synergistic value in Viewnet and is willing to acquire Viewnet after a due diligence is carried out to verify the representations including the accounts furnished by Viewnet. This Heads of Agreement is valid for 9 months and the validity term may be extended with mutual consent from both parties. Both parties are desirous of entering into more detailed definitive formal Agreement(s) setting out in detail the acquisition of Viewnet by the Company in the form of a Sale and Purchase Agreement (“Agreement(s)”) within nine (9) months from the date of this Heads of Agreement. None of the Directors and/or the substantial shareholders of TMS or any persons connected to them have any interest, direct or indirect in the Heads of Agreement. Should there be any development pertaining thereto, the Company will make the necessary announcement accordingly. This announcement is dated 19 January 2012.

Description	:	Heads of Agreement between The Media Shoppe Berhad (“TMS”) and Open Adventure Sdn Bhd (“OASB”)
Announcement Details/Table Section : The Board of Directors wishes to announce that the Company had on 19 January 2012 entered into a Heads of Agreement with OASB, an Information Technology Solutions and related services provider. TMS sees synergistic value in OASB and is willing to acquire OASB after a due diligence is carried out to verify the representations including the accounts furnished by OASB. This Heads of Agreement is valid for 6 months and the validity term may be extended with mutual consent from both parties. Both parties are desirous of entering into more detailed definitive formal Agreement(s) setting out in detail the acquisition of OASB by the Company in the form of a Sale and Purchase Agreement (“Agreement(s)”) within six (6) months from the date of this Heads of Agreement.   None of the Directors and/or the substantial shareholders of TMS or any persons connected to them have any interest, direct or indirect in the said Agreement. The Company will make the necessary announcement for any further development pertaining thereto. This announcement is dated 19 January 2012.

The Board of Directors wishes to announce that TMS Software Sdn Bhd (“TMSS”), a wholly owned subsidiary of the Company, had on 18 January 2012, entered into a Teaming Agreement (“Agreement”) with Konsortium Jaya Sdn Bhd (“KJSB”), as both parties wish to work together, with KJSB as the intended main contractor, while TMSS as the intended subcontractor to KJSB for the submission of a proposal to the Government of Malaysia, represented by the Ministry of Education (“Customer”) in relation to the “Perluasan Sistem Pengurusan Sekolah” to all 10,000 schools nationwide (“Project”) for their respective scope of work, with TMSS’s portion. If such Project is awarded by the Customer to KJSB, the both parties agree for:-

(a) KJSB to enter into an agreement with the Customer (“Prime Contract”); and

(b) TMSS to enter into a subcontract agreement with KJSB (“Subcontract”),

for the implementation of the Project, with both parties’ respective responsibilities as described in the Agreement.

None of the Directors and/or the substantial shareholders of TMS or any persons connected to them have any interest, direct or indirect in the Agreement.

Should there be any development pertaining thereto, the Company will make the necessary announcement accordingly.
